1. Acceptance of terms
By accessing or using Furniture Billing Portal, you agree to be bound by these Terms & Conditions issued by The Project Jugaad. If you do not agree, you should not access or use the platform.
2. Service purpose
The platform is intended for business use, including customer record management, quotation creation, invoice handling, payment tracking, reporting, user access control, and related workflow activities.
3. Registration and account access
Businesses must provide accurate and current information during registration and while using the service. We may reject, suspend, or limit access where submitted information is incomplete, misleading, abusive, or inconsistent with expected business use.
4. Account security and user responsibility
Users are responsible for maintaining the confidentiality of their credentials, managing access responsibly, and ensuring that activity performed through their accounts complies with applicable business, contractual, and legal requirements.
5. Support mode and administrative access
Where reasonably necessary for setup, support, troubleshooting, migration, security review, service protection, or other legitimate platform administration, authorized platform personnel may enter a business account in a controlled support mode or similar supervised access context. Such access is limited to operational assistance and service administration purposes and may be recorded in platform logs or audit records.
By using the service, the business acknowledges that this type of controlled support access may occur when requested by the business, when needed to resolve a reported issue, or when reasonably required to protect the platform, investigate misuse, or complete setup and recovery activities.
6. Data accuracy and ownership
Businesses remain responsible for the accuracy, legality, and ownership of the data they enter into the platform, including customer details, quotations, invoices, payment records, attachments, and internal notes.
7. Business review, tax, and compliance responsibility
The platform supports business workflows but does not provide legal, tax, accounting, financial, or compliance advice. Businesses are responsible for reviewing all quotations, invoices, payment entries, GST or tax details, commercial terms, and customer-facing documents before relying on them, sharing them, printing them, or submitting them for statutory or business purposes.
8. Acceptable use
The platform must not be used for unlawful, abusive, fraudulent, or unauthorized purposes. Users must not attempt to interfere with platform security, service availability, access controls, or data belonging to other users or businesses.
9. Plans, pricing, and access limits
Access to features, usage limits, plan benefits, and pricing may depend on the package selected by the business. Trial access, promotional pricing, renewals, and plan availability may change from time to time.
10. Billing, cancellations, and renewals
Subscription periods, payment timing, renewals, and upgrade handling are subject to the applicable plan, invoice, proposal, or separate written agreement shared with the business. Except where required by applicable law or explicitly agreed in writing, fees once paid are non-refundable.
11. Customer records, exports, and backups
Businesses should maintain appropriate copies, exports, accounting records, statutory records, and internal backups required for their own operations, audits, tax filings, and business continuity. The platform may provide tools to manage or export data, but responsibility for business recordkeeping remains with the business.
12. Service availability and changes
We aim to maintain service availability and platform performance, but uninterrupted, delay-free, secure, or error-free access cannot be guaranteed at all times. Features, workflows, integrations, emails, document formats, or plan structures may be updated, paused, restricted, or discontinued as the product evolves or where needed for security, compliance, maintenance, or operational reasons.
13. Intellectual property
The platform, its branding, software, interface elements, and related materials remain the property of their respective owners. Use of the service does not transfer ownership of the platform itself.
14. Suspension or termination
Access may be suspended or terminated where necessary for security, misuse prevention, unpaid dues, non-compliance, operational protection, or other legitimate service administration reasons.
15. Disclaimer
The platform is provided on a reasonable-effort and as-available basis for business use. To the fullest extent permitted by applicable law, we disclaim warranties or guarantees relating to uninterrupted operation, error-free performance, specific business outcomes, tax or accounting correctness, third-party service availability, or suitability for a particular purpose.
16. Limitation of liability
To the fullest extent permitted by applicable law, The Project Jugaad shall not be liable for indirect, incidental, special, consequential, punitive, exemplary, or business interruption losses, including loss of profit, revenue, goodwill, data, opportunity, or expected savings arising from use of the platform, inability to access the platform, user-entered data, incorrect business decisions, downtime, bugs, integrations, or events outside our reasonable control. Where liability cannot be excluded, our aggregate liability shall be limited to the fees paid by the affected business for the relevant service period giving rise to the claim, unless a separate signed agreement states otherwise.
17. Indemnity
The business agrees to defend, indemnify, and hold The Project Jugaad harmless from claims, losses, liabilities, penalties, damages, costs, or expenses arising from user-entered data, customer-facing documents, tax or statutory filings, misuse of the platform, breach of these terms, unauthorized account activity, or violation of applicable laws or third-party rights.
18. Events outside our control
We will not be responsible for delay, failure, data transmission issues, email delivery issues, service interruption, or non-performance caused by events outside our reasonable control, including internet outages, hosting or infrastructure failures, third-party service issues, cyber incidents, legal restrictions, natural events, labor disruption, or government action.
19. Governing documents
If a business has a separate signed proposal, order form, subscription agreement, or service-specific commercial document with us, that document may govern to the extent of any conflict with these public Terms & Conditions.
20. Governing law and jurisdiction
These Terms & Conditions are governed by the laws of India. Subject to applicable law, the courts at Vadodara, Gujarat, India shall have exclusive jurisdiction in respect of any dispute, claim, or matter arising out of or in connection with the platform, these Terms & Conditions, or the use of the service.
21. Changes to these terms
These Terms & Conditions may be updated periodically. Continued use of the platform after an update constitutes acceptance of the revised terms.
